Terms of Service

Last updated: September 2026

Acceptance of Terms

By accessing or using the MigrateData platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("Customer", "you", "your") and MigrateData ("we", "us", "our"). We reserve the right to update these Terms at any time. Material changes will be communicated via email, and your continued use of the Service after such changes constitutes acceptance.

Service Description

MigrateData is an enterprise workspace migration platform that enables organizations to migrate data between collaboration platforms. Our Service supports 5 source and destination platforms: Google Workspace, Microsoft 365, Box, Dropbox, and ShareFile.

The Service facilitates migration of 13 data types, including email, files, calendars, contacts, tasks, notes, groups, shared mailboxes, shared calendars, shared drives, chat messages, mailbox rules, and public folders. Features include pre-migration analysis, real-time monitoring, post-migration reconciliation, delta synchronization, duplicate prevention, and on-premises agent deployment as an alternative to SaaS.

MigrateData operates on a zero-retention streaming architecture. Your workspace data is never stored on our servers. Data flows directly from your source platform to your destination platform and is processed in memory only.

Accounts

To use the Service, you must create an account by providing accurate and complete registration information, including your name, email address, and organization details. You agree to keep your account information current and accurate at all times.

You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys. You agree to notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Each individual may maintain only one account. Each organization is provisioned a single tenant with a unique subdomain. Sharing account credentials between individuals is prohibited; use the team management feature to invite additional users to your organization.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Data Processing

MigrateData operates on a zero-retention streaming architecture. When you initiate a migration, your data flows directly from the source platform to the destination platform. Data is transformed in memory only and is never written to our servers, databases, or disk storage.

We store only migration metadata, including item counts, data types, status information, error messages, and timestamps. This metadata is necessary to provide migration reporting, reconciliation, and customer support.

You own all of your data. We claim no ownership or intellectual property rights over any data you migrate through the Service. We process your data solely to perform the migration services you request. We do not use your data for any other purpose, including advertising, analytics, or training AI models.

An on-premises agent option is available as an alternative to SaaS deployment.

Payment Terms

MigrateData is sold as one-time licenses on a per-user basis. Licenses are not subscriptions and do not auto-renew.

Pricing: Current pricing is published on our website and may be updated from time to time. New pricing applies to future purchases only; already-purchased licenses are honored at their original rate for the duration of their validity period. Custom pricing is available for organizations exceeding the self-serve limit — contact us for a quote.

Payment: All payments are processed securely through Stripe. By purchasing licenses, you authorize us to charge your payment method on file for the applicable license fees. Enterprise customers may arrange alternative payment methods such as ACH transfer or invoice terms.

Free Trial: New accounts receive a 30-day free trial with 10 licenses and full access to platform features. No payment method is required to start a trial. At the end of the trial period, you may purchase licenses to continue using the Service; unused trial licenses do not carry over.

License Validity: Purchased licenses are valid for 12 months from the date of purchase. You may consume licenses to migrate users at any point during that validity period. Once a user is licensed, re-migrating that same user is included in the license fee for the remainder of the validity period.

Renewal: Licenses do not automatically renew. When your licenses approach expiry, we send reminder emails at 90, 30, and 7 days out so you can purchase additional licenses if you have remaining migration work. You are never automatically charged.

Refunds: Licenses are non-refundable once purchased, except as required by law. Data you already migrated remains on your destination platform independent of MigrateData — ceasing to use our Service does not affect data you have already moved.

Intellectual Property

The Service, including all software, algorithms, user interfaces, documentation, and related intellectual property, is owned exclusively by MigrateData and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

You retain all ownership rights to your data. No data you upload, migrate, or process through the Service becomes the property of MigrateData. We do not acquire any rights, title, or interest in your data by virtue of providing the Service.

You may provide feedback, suggestions, or feature requests regarding the Service. You agree that we may use such feedback without restriction or obligation to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIGRATEDATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO MIGRATEDATA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Indemnification

You agree to indemnify, defend, and hold harmless MigrateData and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Termination

Either party may terminate this agreement at any time. You may cancel your account through your account settings or by contacting our support team.

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent or illegal activity, or pose a risk to the security or integrity of the Service or other users.

Upon termination, your right to use the Service ceases immediately. You will have 30 days from the date of termination to export your account data, migration logs, and reports. After this 30-day period, all associated data will be permanently deleted from our systems.

The following sections survive termination: Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature are intended to survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.
